Welcome to PriceBrain. These Terms of Use govern your access to and use of the PriceBrain website, platform, software, and related services provided by Internut Sdn Bhd (“Internut,” “we,” “our,” or “us”).

By accessing or using PriceBrain, you agree to these Terms of Use. If you do not agree, please do not use our website or services.

1. About PriceBrain

PriceBrain is a retail pricing and analytics platform that may include features such as AI-powered pricing recommendations, dashboard analytics, electronic shelf label integration, and related tools and services.

2. Eligibility

You may use PriceBrain only if you are authorized to act on behalf of a business or organization, or are otherwise legally permitted to enter into these Terms.

If you use PriceBrain on behalf of a company or other entity, you confirm that you have authority to bind that entity to these Terms.

3. Use of the Website and Services

You agree to use PriceBrain only for lawful purposes and in a manner that does not violate any applicable laws, regulations, or third-party rights.

You must not:

• use the platform for any unlawful, fraudulent, or harmful purpose

• attempt to gain unauthorized access to any part of the website, platform, systems, or networks

• interfere with the operation, security, or performance of the service

• copy, modify, reverse engineer, resell, or exploit any part of PriceBrain except as permitted by law or with our written consent

• upload or transmit malicious code, viruses, or harmful material

4. Accounts and Access

5. Pricing Recommendations and AI Features

PriceBrain may provide analytics, forecasts, simulations, recommendations, and AI-generated pricing insights. These are provided as decision-support tools only.

You remain solely responsible for reviewing and approving pricing decisions, promotions, markdowns, and any business actions taken based on the platform’s outputs.

We do not guarantee that any recommendation will produce a specific financial result, revenue increase, or business outcome.

6. Electronic Shelf Labels and Hardware

Where applicable, PriceBrain may be offered together with electronic shelf labels, gateways, or related hardware.

Any hardware supply, installation, warranty, maintenance, replacement, or support terms may be subject to separate commercial terms, quotations, or service agreements.

7. Intellectual Property

All content, software, technology, branding, logos, designs, dashboards, text, graphics, and other materials related to PriceBrain are owned by or licensed to Internut and are protected by applicable intellectual property laws.

Nothing in these Terms transfers any ownership rights to you, except for the limited right to use the services in accordance with these Terms.

8. Customer Data

You retain ownership of the business data, product data, pricing data, and other information you submit to PriceBrain.

You grant us the right to host, process, transmit, and use such data as necessary to provide, maintain, support, and improve the services, subject to applicable law and our Privacy Policy.

You are responsible for ensuring that you have the necessary rights and permissions to provide any data you submit to the platform.

9. Third-Party Integrations

PriceBrain may integrate with third-party systems such as POS platforms, ERP systems, inventory tools, or other external services.

We are not responsible for third-party systems, their availability, accuracy, security, or performance. Your use of third-party services may also be subject to their own terms and policies.

10. Availability and Changes

We may update, modify, suspend, or discontinue any part of the website or services at any time, with or without notice.

We do not guarantee that the website or platform will always be available, uninterrupted, secure, or error-free.

11. Disclaimer

PriceBrain and all related content and services are provided on an “as is” and “as available” basis to the fullest extent permitted by law.

We make no warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or suitability for your business needs.

12. Limitation of Liability

To the fullest extent permitted by law, Internut will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings arising out of or related to your use of PriceBrain.

Our total liability in connection with the website or services will not exceed the amount paid by you to us for the relevant services in the 12 months preceding the event giving rise to the claim, or if no fee was paid, a reasonable nominal amount permitted by law.

13. Indemnity

You agree to indemnify and hold harmless Internut, its affiliates, officers, employees, and agents from and against any claims, losses, liabilities, damages, and expenses arising from your misuse of PriceBrain, your breach of these Terms, or your violation of any law or third-party rights.

14. Termination

We may suspend or terminate your access to the website or services at our discretion if you breach these Terms or if continued access may create legal, security, or operational risk.

Upon termination, your right to use PriceBrain will end immediately.

15. Privacy

Your use of PriceBrain is also subject to our Privacy Policy, which explains how we collect, use, and protect personal data and business information.

16. Governing Law

These Terms are governed by the laws of Malaysia, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the use of PriceBrain will be subject to the exclusive jurisdiction of the courts of Malaysia, unless otherwise agreed in writing.
